Terms of Service

Version 3.1 — Last updated: April 2, 2026

1. Definitions

"Service" refers to the VoltageGPU cloud computing platform, including GPU pod provisioning, AI inference API, dashboard, CLI tools, templates, and all related services accessible at voltagegpu.com and its subdomains.

"Customer", "You" refers to the individual or legal entity that creates an account and uses the Service.

"VOLTAGE", "We", "Us" refers to VOLTAGE, sole proprietorship (entrepreneur individuel) operated by Julien AUBRY, registered under SIREN 943 808 824, SIRET 943 808 824 00016, located at 2311 chemin de la Blancherie, 69360 Solaize, France.

"GPU Pod" refers to a dedicated containerized computing environment with one or more GPUs provisioned on your behalf.

"API" refers to the programmatic interfaces provided for AI model inference, management, and monitoring.

2. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, our Acceptable Use Policy, and our Service Level Agreement.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to registered users at least 30 days in advance. Continued use of the Service after such notice constitutes acceptance of the modified Terms.

3. Account Registration and Security

3.1. You must provide accurate, complete, and current information during registration. You are responsible for updating your information to keep it accurate.

3.2. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and SSH keys. You must notify us immediately at security@voltagegpu.com of any unauthorized access or security breach.

3.3. You may not share, transfer, or sell your account credentials. One account per individual or legal entity is permitted unless otherwise agreed in writing.

3.4. We reserve the right to suspend or terminate accounts that violate these Terms, remain inactive for more than 12 months, or present a security risk to our infrastructure or other users.

4. Description of Services

4.1. GPU Compute (Pods) — On-demand provisioning of containerized GPU environments with SSH access, persistent storage, and customizable templates. Resources are billed per second of active usage.

4.2. AI Inference API — RESTful API access to 140+ pre-deployed AI models, compatible with the OpenAI API specification. Billed per token or per request depending on the model.

4.3. Templates — Pre-configured computing environments (PyTorch, TensorFlow, vLLM, etc.) for rapid deployment.

4.4. CLI Tool — Open-source command-line interface for managing pods, deployments, and infrastructure programmatically.

5. Payment Terms

5.1. Pre-paid credit system. You must maintain a positive account balance to use billable services. When your balance reaches zero, running GPU pods will be automatically stopped to prevent negative balances.

5.2. Billing frequency. GPU pod usage is billed per second. API inference usage is billed per request or per token. Balance deductions occur automatically every 60 seconds for active pods.

5.3. Payment methods. We accept credit/debit cards (via Stripe), cryptocurrency (via Coinbase Commerce), and Bitcoin (direct P2P). Enterprise customers may request invoicing (NET 30) by contacting enterprise@voltagegpu.com.

5.4. Pricing. Current pricing is displayed on our pricing page and on the pod configuration screen at the time of deployment. Prices may change with 30 days notice; existing running pods are not affected by price increases.

5.5. Refunds. Account credits are non-refundable except (a) where required by applicable law, (b) in case of a billing error proven by the Customer, or (c) as service credits under the SLA.

5.6. Invoices. A PDF invoice and receipt are generated automatically for every payment and sent to the registered email address. Invoices comply with French invoicing requirements (SIREN, SIRET, TVA mention).

5.7. TVA (VAT). As an auto-entrepreneur under article 293 B of the French General Tax Code (CGI), VOLTAGE does not charge VAT. The mention "TVA non applicable, art. 293 B du CGI" appears on all invoices.

6. Prohibited Uses

You may not use the Service for any of the following:

  • Any activity that violates applicable law or regulation
  • Cryptocurrency mining without prior written authorization from VOLTAGE
  • Distribution of malware, viruses, ransomware, or other harmful software
  • Denial-of-service attacks or any activity intended to disrupt third-party services
  • Storage, processing, or transmission of child sexual abuse material (CSAM)
  • Unauthorized access to systems, networks, or data not belonging to you
  • Intellectual property infringement (copyright, trademark, patent violations)
  • Spam, unsolicited communications, or phishing activities
  • Activities that consume excessive resources degrading service for other users
  • Reselling or sublicensing access to the Service without prior written agreement

Violation of this section may result in immediate account suspension without prior notice and without refund of remaining credits. Refer to the Acceptable Use Policy for full details.

7. Data and Privacy

7.1. Your data. You retain full ownership of all data, models, code, and outputs that you store or process on the Service. We do not access, use, or train on your data for any purpose other than providing the Service.

7.2. Data processing. When we process personal data on your behalf, we act as a data processor under GDPR. Our obligations are detailed in the Data Processing Agreement (DPA).

7.3. Data deletion. Upon account termination or upon request, we will delete all your data within 30 calendar days, except where retention is required by law. You can initiate data deletion from your account settings.

7.4. Sub-processors. A list of third-party sub-processors who may process your data is available at /legal/subprocessors.

8. Service Availability and SLA

8.1. We target 99.9% monthly uptime for GPU Pods and 99.95% for the AI Inference API. Specific commitments, measurement methodology, and service credit terms are detailed in our Service Level Agreement.

8.2. Planned maintenance occurs during the standard maintenance window (Tuesdays, 02:00–06:00 UTC) and will be announced at least 48 hours in advance via email and status page.

8.3. We reserve the right to modify, suspend, or discontinue any part of the Service with at least 90 days notice. For enterprise customers with active agreements, we will honor existing contract terms.

9. Intellectual Property

9.1. Our IP. The Service, including its software, APIs, documentation, branding, and design, is owned by VOLTAGE and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

9.2. Your IP. You retain all rights to your code, data, models, and outputs. By using the Service, you grant us only the limited rights necessary to provide the Service (e.g., storing your data on our infrastructure).

9.3. Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use such feedback to improve the Service.

10. Warranty Disclaimer

10.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2. VOLTAGE does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Service availability targets are described in the SLA and constitute the exclusive remedy for downtime.

10.3. VOLTAGE does not warrant the accuracy, completeness, or reliability of any AI model outputs generated through the Service. You are solely responsible for validating outputs before relying on them for any purpose.

11. Limitation of Liability

11.1. To the maximum extent permitted by applicable law, VOLTAGE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, resulting from your use of or inability to use the Service.

11.2. Our total aggregate liability for all claims arising from or related to the Service shall not exceed the total amount paid by you to VOLTAGE during the 12 months preceding the claim.

11.3. Carve-outs. The limitations in 11.1 and 11.2 do not apply to: (a) VOLTAGE's breach of Section 7 (Data and Privacy) resulting in unauthorized disclosure of your data due to our gross negligence or willful misconduct; (b) either party's indemnification obligations; (c) liability that cannot be limited under applicable law, including death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

11.4. These limitations apply regardless of the form of action (contract, tort, strict liability, or otherwise) and even if VOLTAGE has been advised of the possibility of such damages.

12. Indemnification

12.1. By you. You agree to indemnify, defend, and hold harmless VOLTAGE, its officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you store, process, or transmit through the Service.

12.2. By VOLTAGE. VOLTAGE agrees to indemnify, defend, and hold harmless the Customer from and against any third-party claims alleging that the Service, as provided by VOLTAGE, infringes the intellectual property rights of a third party, provided that the Customer promptly notifies VOLTAGE, grants VOLTAGE sole control over the defense or settlement, and cooperates fully.

13. Termination

13.1. By you. You may terminate your account at any time through your account settings or by contacting support@voltagegpu.com. Any remaining credits are non-refundable.

13.2. By us. We may suspend or terminate your account immediately if you breach these Terms. For non-critical violations, we will provide 14 days notice and an opportunity to cure.

13.3. Effect of termination. Upon termination, your access to the Service will be revoked. Your data will be retained for 30 days to allow retrieval, after which it will be permanently deleted.

14. Dispute Resolution

14.1. Governing law. These Terms are governed by and construed in accordance with the laws of France, without regard to its conflict of laws principles.

14.2. Mediation. In the event of a dispute, you may contact the consumer mediation service: CNPM — Médiation de la Consommation (cnpm-mediation-consommation.eu) before initiating legal proceedings.

14.3. Jurisdiction. Any disputes that cannot be resolved through mediation shall be submitted to the exclusive jurisdiction of the courts of Lyon, France.

15. Miscellaneous

15.1. Entire agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, SLA, and DPA, constitute the entire agreement between you and VOLTAGE.

15.2. Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.

15.3. Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

15.5. Force majeure. Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet outages.
